Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the MatterLog application and this related website (together, the “Service”). By downloading, installing, or using MatterLog, you agree to these Terms. If you do not agree, do not use the Service.
1. What MatterLog is
MatterLog is a personal productivity / case-memo tool intended to help individual attorneys (including solo and small-firm practitioners) capture voice notes, organize them by matter, attach case files, export summaries, and manage personal reminders. MatterLog is not a law firm, is not a complete practice-management system, and does not provide legal advice, legal opinions, or attorney-client representation.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding agreement. The Service is designed primarily for licensed legal professionals and related adult users who choose to use a personal memo tool.
3. Your professional responsibilities
You acknowledge and agree that:
- You are solely responsible for the content you record, type, store, or sync using MatterLog.
- You remain responsible for compliance with applicable rules of professional conduct, confidentiality, privilege, conflicts, retention, and data-security duties.
- MatterLog does not replace your judgment, calendaring systems, docketing procedures, or firm policies.
- Deadlines, hearings, and to-dos shown in the app (including local notifications or optional Apple Calendar / Reminders entries) are convenience features only. You must independently verify critical dates.
4. Account and access
The current version of MatterLog does not require a MatterLog-hosted user account. Access is through the Apple App Store / Apple platforms under your Apple ID and device. You are responsible for maintaining the security of your device and Apple account.
5. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use MatterLog on Apple devices you own or control, as permitted by the App Store Terms of Use / Apple Media Services Terms and any applicable Licensed Application End User License Agreement (standard Apple EULA unless we provide a custom EULA).
You may not copy, modify, distribute, sell, reverse engineer, or create derivative works of the Service except to the extent such restriction is prohibited by law.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose;
- Attempt to disrupt, probe, or compromise the Service, related websites, or other users’ devices;
- Misrepresent the Service as providing legal advice or as a substitute for professional docketing controls;
- Upload or process content you do not have the right to handle on your device.
7. User content
“User Content” means audio, text, matter metadata, reminders, to-dos, and other materials you create or store in MatterLog. As between you and us, you retain ownership of your User Content. You grant us only the limited technical rights needed to operate features you enable on your device (for example, writing a reminder to Apple Calendar when you turn that setting on). We do not claim ownership of your case files.
8. Third-party services
MatterLog relies on Apple frameworks and services (including but not limited to microphone access, Speech recognition, notifications, EventKit for Calendar/Reminders, and App Store distribution). Your use of those services is also subject to Apple’s terms and policies. We are not responsible for outages, accuracy limits, or policy changes of third-party platforms.
Speech recognition quality may vary (accents, noise, legal terminology). Transcripts may contain errors. You should review important text before relying on it.
9. Optional paid features (future)
The current Service may be offered free of charge for core local recording, transcription via system speech, and personal organization features. We may later introduce paid features (for example, enhanced transcription or AI-assisted organization). If we do, pricing, subscriptions, and refund rules will be disclosed in the App Store product page and/or in-app purchase sheets and will be governed by Apple’s payment terms as applicable.
10. Privacy
Our handling of information is described in the Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT NOTIFICATIONS OR TRANSCRIPTS WILL BE COMPLETE OR ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR MATTERLOG IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
Without limiting the above, we are not liable for missed court dates, filing deadlines, malpractice claims, or professional discipline arising from reliance on the Service.
13. Indemnity
You agree to defend, indemnify, and hold harmless us and our affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your misuse of the Service, or your violation of these Terms or applicable professional duties — except to the extent caused by our willful misconduct.
14. Termination
You may stop using MatterLog at any time by deleting the app. We may suspend or stop providing the Service or updates if required by law, platform rules, or if we discontinue the product. Sections that by their nature should survive (including ownership of User Content, disclaimers, limitations, and indemnity) will survive termination.
15. Changes to the Service and Terms
We may update the Service and these Terms from time to time. The “Last updated” date will change when we post revisions. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires otherwise.
16. Governing law
These Terms are governed by applicable law (without regard to conflict-of-law rules), except that mandatory consumer-protection laws of your place of residence may still apply where they cannot be waived, and Apple’s App Store terms may also apply to distribution. Any dispute arising from these Terms shall be brought in a court of competent jurisdiction, subject to any non-waivable rights you may have.
If you need governing law or venue adjusted for App Store distribution in a specific region, contact us before relying on this section commercially.
